1. Introduction

Welcome to Amicus. These Terms of Service ("Terms") govern your access to and use of the Amicus legal case management platform, including our web application, mobile applications, and related services (collectively, the "Services"), operated by Amicus Legal Technologies ("Company", "we", "us", or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services. If you are using the Services on behalf of a law firm or organization, you represent that you have the authority to bind that entity to these Terms.

2. Eligibility

The Services are intended for use by licensed legal professionals, law firms, and their authorized staff in the Philippines. By using the Services, you represent and warrant that:

  • You are at least 18 years of age.
  • You have the legal capacity to enter into a binding agreement.
  • You are using the Services for lawful legal practice purposes.
  • Your use of the Services complies with all applicable laws and regulations, including the Data Privacy Act of 2012 (Republic Act No. 10173).

3. Account Registration and Security

To access the Services, you must register for an account through our invitation-based system. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain the security and confidentiality of your login credentials.
  • Immediately notify us of any unauthorized access to or use of your account.
  • Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

4. Use of Services

4.1 Permitted Use

You may use the Services solely for legitimate legal case management purposes, including but not limited to:

  • Uploading and managing legal documents.
  • Using AI-powered document analysis and extraction features.
  • Managing case information, parties, and hearing dates.
  • Utilizing the AI chat feature for case-related queries.
  • Accessing AI-generated legal research and case digests.
  • Organizing and viewing case documents.

4.2 Prohibited Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable law or regulation.
  • Upload malicious software, viruses, or harmful code to the platform.
  • Attempt to gain unauthorized access to our systems or other users' accounts.
  • Reverse engineer, decompile, or disassemble any part of the Services.
  • Use the Services to store or transmit content that infringes on third-party intellectual property rights.
  • Share your account credentials with unauthorized individuals.
  • Use automated tools, bots, or scripts to access the Services without our prior written consent.

5. AI-Powered Features and Disclaimer

The Services include AI-powered features such as document analysis, date extraction, case research, legal digests, and conversational AI chat. You acknowledge and agree that:

  • Not Legal Advice: AI-generated outputs, including research, digests, summaries, and chat responses, are provided for informational purposes only and do not constitute legal advice.
  • Professional Judgment Required: You are solely responsible for verifying all AI-generated content and exercising independent professional judgment before relying on any output.
  • No Guarantee of Accuracy: While we strive for accuracy, AI outputs may contain errors, omissions, or inaccuracies. AI-generated legal research and citations must be independently verified.
  • Continuous Improvement: AI features are continuously being improved and may produce different results over time.

6. Your Data and Content

6.1 Ownership

You retain all ownership rights to the documents, data, and content you upload to the Services ("Your Content"). We do not claim any ownership over Your Content.

6.2 License to Us

By uploading Your Content, you grant us a limited, non-exclusive license to process, store, and analyze Your Content solely for the purpose of providing the Services to you. This includes processing your documents through our AI systems to extract information, generate embeddings, and provide insights.

6.3 Confidentiality

We understand that Your Content may include privileged, confidential, or sensitive legal information. We implement appropriate technical and organizational measures to protect the confidentiality of Your Content. We will not access, use, or disclose Your Content except as necessary to provide the Services or as required by law.

7. Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Services, you consent to the practices described in the Privacy Policy.

8. Fees and Payment

Access to the Services is provided under partnership agreements with individual law firms. Fees, billing terms, and payment schedules are determined on a per-partnership basis and will be outlined in your separate service agreement.

We reserve the right to modify pricing upon reasonable notice as specified in your service agreement. Failure to pay fees may result in suspension or termination of access to the Services.

9. Intellectual Property

The Services, including all software, algorithms, AI models, user interface designs, trademarks, and documentation, are owned by or licensed to the Company and are protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand features without our prior written consent.

You may not copy, modify, distribute, sell, or lease any part of the Services, nor may you reverse engineer or attempt to extract the source code of the software.

10. Third-Party Integrations

The Services may integrate with third-party services such as email providers (e.g., Gmail) and calendar applications. Your use of third-party integrations is subject to the respective third party's terms of service and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

You authorize us to access and process data from connected third-party services solely for the purpose of providing the Services to you.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied.
  • We do not warrant that the Services will be uninterrupted, error-free, or completely secure.
  • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services.
  • Our total liability for any claims arising from or related to these Terms or the Services shall not exceed the fees paid by you in the twelve (12) months preceding the claim.
  • We are not liable for any decisions made or actions taken based on AI-generated outputs from the Services.

12. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any applicable law or the rights of any third party.

13. Termination

We may suspend or terminate your access to the Services at any time for any reason, including but not limited to a breach of these Terms. You may terminate your account by contacting us at the email address provided below.

Upon termination, your right to use the Services will immediately cease. We will retain Your Content for a reasonable period to allow you to export your data, after which it may be deleted in accordance with our data retention policies.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising from or related to these Terms or the Services shall be resolved through the following process:

  • Negotiation: The parties shall first attempt to resolve the dispute through good faith negotiation.
  • Mediation: If negotiation fails, the dispute shall be submitted to mediation under the rules of a mutually agreed mediator.
  • Litigation: If mediation fails, the dispute shall be submitted to the exclusive jurisdiction of the courts of Quezon City, Philippines.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our platform and updating the "Last updated" date. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.
